Hi there I've just got a new iPad 2 for Xmas , but unfortunatly due to having very inquisitive children I decided to put a pass code on to keep kids out but now due to to many wrong attempts the iPad has been disabled , I have tried restoring it to factory setting but this not working , I did not sync my iPad manually at start I done it wifi .
Can anyone please help me ?

I would take it into the apple store and let one of the geniuses have a look at it. I think that would be the only way.

You will need to perform a DFU restore to get it operational again. This will erase everything which is on it, but you can of course re-install all your apps, media, etc. (and you do not have to pay for your apps again) via iTunes after the restore is complete. If you signed up to iCloud for backups, you will also be able to restore your last backup once the process is complete.

To get the device into DFU mode, see our guide here - http://www.ipadforums.net/ipad-hacking/27489-dfu-mode-dummies.html

Once you are in DFU mode, press the "restore" button in iTunes once iTunes has detected your device in recovery mode. The rest should be automatic.

Hi and welcome to the Forum!

I think you may have to reset your iPad to out of the box state. Don't worry about purchased apps you will be able to redownload them free as the App store keeps a record of them. I did find this thread on the same subject, someone else may know more here though.
