Calibre is the best option for converting....but for PDF just import directly into iTunes then sync.

I consider if the magazines are not available in your country as a hard copy it's not illegal downloading them from a site like magazines download.

Copyright law varies from one country to the other, this is why some emagazines are not available outside the States. You can say that it might not be illegal to download in your country but I doubt that. Those magazines belong to those who publish them.
