I don't get a error 3200 (or whatever it is) when it tries to extract the software to do the actual upgrade is when this happens. It just says it can't restore because of an internal error.

Then, once it is downloaded, shift-click (windows) or option-click (OSX) the restore button in iTunes and it will let you select the file you just downloaded.
iTunes can time out, particularly when the whole world is trying to install IOS5 at once!

Unplug your ipad and plug it back in, it works
